Company registration is often the fastest stage of a business project. The real problems appear later, when the structure chosen at the beginning does not match the way the business actually operates.

In the Republic of Moldova, the incorporation procedure for a commercial company may be relatively efficient. However, fast registration should not be confused with proper legal structuring. One of the most common mistakes is using standard articles without adapting them to the reality of the business. At the beginning, founders often assume that they will always agree. In practice, conflicts arise precisely when the documents do not provide clear mechanisms for difficult situations.

Corporate documents should answer practical questions: who manages the company, which decisions require shareholder approval, how a participation may be sold, what happens if a shareholder exits, how profits are distributed and how a decision-making deadlock is resolved.

What should be prepared before filing

Usually, founders must clarify the company name, registered office, administrator, share capital, structure of participation interests, business activities and incorporation documents. Foreign founders may need additional documents, translations, apostilles, beneficial ownership information and corporate documents from their home jurisdiction.

Legal thinking before launch

A business needs more than registration; it needs a structure that can function. For projects with two or more shareholders, it is advisable to discuss a shareholders' agreement, voting rules, restrictions on transfers and exit mechanisms. Companies working with clients, suppliers or digital platforms should also prepare contracts and internal policies from the outset.

A company registered quickly but structured superficially may become expensive later. A few well-drafted clauses at the beginning can prevent future conflicts, deadlocks and litigation.
