A business may look attractive in presentations, in figures provided by the seller or in commercial discussions. However, a company is acquired together with its legal history: contracts, debts, disputes, rights over assets, employment relations, permits and compliance risks.

Legal due diligence is the process through which the buyer checks the legal reality of the target company before signing or closing the transaction. Its purpose is not only to identify problems, but also to understand their impact on price, transaction structure and the warranties that should be required from the seller.
What legal due diligence covers

The review usually includes the corporate structure, constitutional documents, shareholder rights, history of amendments, disputes, material contracts, tax obligations, rights over assets, employment relations, permits, intellectual property, data protection and compliance with sector-specific rules.

Risks commonly identified

In practice, buyers often discover contracts signed without authority or internal approvals, undisclosed debts, hidden litigation, assets used without clear title, expired licences, unfavourable termination clauses, shareholder conflicts or employment liabilities that were not reflected in the price.

Sometimes the issue is not serious enough to stop the transaction, but it is important enough to renegotiate the price, request specific warranties, retain part of the price or make closing conditional upon remediation of the risk.

Why it must be done before signing

After closing, many risks become the buyer’s problem. If they were not identified and contractually covered, recovery may be difficult, expensive and dependent on litigation.

A good due diligence process gives the buyer control: the buyer can decide whether to proceed, on what terms, at what price and with what protection. For the seller, proper preparation of documents may accelerate the transaction and reduce investor concerns.
